Terms of service
These terms apply when a business uses Centrion. They are between Delviosolutions Limited (company number 17526107), trading as Centrion ("Centrion", "we") and the business named on the order or payment ("the customer", "you").
1. The service
Centrion is a web platform for site attendance, gate sign-in, emergency muster, incidents, inductions, patrols, stores, parcels and notices, used through a browser on computers, tablets and phones. We provide it as described on our website and in your order. We may improve it over time; we won't remove a core feature you pay for without telling you in advance.
Centrion supports your safety procedures; it does not replace them. You remain responsible for your site's emergency arrangements, roll-calls, inductions and legal duties, including having a fallback if phones, power or internet are unavailable.
2. Accounts and access
- You are responsible for who you give keys and logins to, and for revoking them when someone leaves.
- Keys and passwords must be kept private. Tell us straight away if you think one has been misused.
- Site admins, HSE, managers and the master admin confirm every dashboard sign-in with an authenticator app.
- There is no self-service password or key reset. If someone forgets their key or loses their authenticator, email support@centrion.co.uk; we check who they are and reissue it.
- Incident photos can only be added with a phone camera in the Centrion app. Only PNG and JPEG pictures and MP4 induction videos are accepted; zip files, folders and other files are refused and deleted.
- Don't try to access another customer's data, test the security of the service without our written agreement, or use Centrion for anything unlawful.
3. Plans, fees and payment
- Prices are per site, as shown on our pricing page or in your order, and exclude VAT.
- Each plan includes a number of accounts (people with a key or login). Visitors and drivers signed in at the gate don't count. At the limit, new keys can't be issued until you revoke unused ones or move to a bigger plan; nobody who already has a key is affected.
- Set-up fees are one-off and are charged with the first payment.
- Monthly plans are paid in advance each month by card through Stripe. Annual plans are paid in advance for the year.
- If a payment fails, you have 14 days to put it right. After that, the site's settings become read-only for admins until it is paid. Gate sign-in, clock-in, muster and emergencies keep working.
4. Cancellation and refunds
- Monthly plans: cancel at any time; the service continues to the end of the month you have paid for. We don't refund part-months.
- Annual plans: you can cancel within 30 days of the start of the year for a refund of the unused months. After that, the plan runs to the end of the paid year and is not refunded.
- Set-up fees are not refundable once the set-up work has been done.
- If we end the service for reasons that aren't your fault, we refund any fees paid for the period after it ends.
5. Your data
- You own your data. For personal data of your workers and visitors, you are the controller and we are your processor, under our data processing agreement, which forms part of these terms.
- You are responsible for having a lawful basis, giving your workers a privacy notice and carrying out any data protection impact assessment your use requires.
- We use the sub-processors listed in our privacy notice and will tell you before adding a new one.
- No transfers abroad without our approval. You must not send, share, upload or otherwise make available outside the United Kingdom any personal data you export or download from Centrion (including reports, CSV and data files), and must not store it on a service hosted outside the UK, without Centrion's prior written approval. This applies to you, your group companies and any business trading under your name. Each download is recorded and must be confirmed by the person downloading it.
- Records are kept for 13 months on a rolling basis: on the 1st of each month the oldest month is deleted, as described in our privacy notice. Your admins are warned on the 15th and the last day of each month and can download those records first. If you must keep a record for longer (for example RIDDOR accident records), keeping that copy is your responsibility.
- When you leave, you have 30 days to export your data; we then delete it within 90 days, except where the law requires us to keep something.
6. Availability and support
We aim to keep Centrion available at all times but can't promise it will never be interrupted, for example during maintenance or failures at our providers. Support is by email on the Site plan, and by email and phone on Site Plus and Enterprise, during UK working hours.
7. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited by law. Otherwise, each party's total liability under these terms in any 12 months is limited to the fees you paid in those 12 months, and neither party is liable for indirect losses or loss of profit.
8. Ending the agreement
Either party can end the agreement if the other seriously breaches it and doesn't fix the breach within 30 days of being told. We can suspend access straight away if it's needed to protect the service or other customers.
9. General
These terms, your order and the data processing agreement are the whole agreement. We may update these terms and will give you 30 days' notice of changes that affect you. English law applies and the courts of England and Wales have jurisdiction.
